As an organization that is committed to improvement and growth, Chick is always on the look-out for corporate acquisition candidates that will contribute to our strategic development. That means expanding our geographic presence, particularly in areas of high industrial activity and in locations where our customers have growing demand for our assistance. In addition, we are constantly seeking ways to expand our range of capabilities, offering new solution sets to our customers and deepening our interactions with them.
If we feel there is both a strategic fit and professional “connection” with a candidate, we will begin valuation and acquisition structuring discussions in earnest. Once we have agreed to acquire a company, we make decisions quickly and try to steer through the due diligence and legal processes as painlessly as possible. Throughout the process we will work to make sure that the acquired company is integrated into the Chick family smoothly and productively.
In selecting acquisitions, a key determinant is the target company’s ability to generate revenues and profits – if it can help us grow, bring us expanded customer reach, new capabilities or the like – we will be eager to meet and talk. That being said, we will buy over-leveraged or underperforming companies with strong customer relationships and a solid top line if we believe that we could turn the company to profitability by applying Chick’s expertise and capital.
Our objective is almost always to retain the acquired company’s management team and support them with the various strengths that Chick can bring: a national network of salespeople, global accounts, capital and investment strength, top flight management. We like good people – from the production floor to the head office – and we work to nurture, stimulate and reward them. We have on our staff many entrepreneurs who joined Chick by selling their company to us and today are enjoying the challenges of their profession and the fruits of their labor in an environment that is strong, stable, creative and supportive.
